General Terms and Conditions (GTC) of egocentric Systems GmbH

1.           Applicability

The following General Terms and Conditions (“GTC”) apply to all contracts regarding the purchase and use of event tickets ordered through egocentric Systems GmbH. Other terms and conditions of the customer will not be accepted unless egocentric Systems GmbH expressly agrees to their validity in writing. egocentric Systems GmbH is based in Herweghstraße 4, 01157 Dresden and is represented by its CEO Jürgen Clauß. egocentric Systems GmbH is registered in the commercial register of the District Court Dresden under HRB 25572.

 

2.           Parties

egocentric Systems GmbH acts only as a ticket selling agent of the event Promoter.  egocentric Systems GmbH does not organize the event itself.

All aspects of the event are controlled strictly by the Promoter, venue or other third parties.  egocentric Systems GmbH does not set ticket prices, the time or date of the event, the content of the event, the nature of the performance, type or arrangement of seating, availability of medical, security or other facilities, parking, access, transportation or any other aspect. The events are carried out independently by the respective Promoter. The respective Promoter is therefore responsible for the provision and fulfillment of the respective event. The respective Promoter may use own terms and conditions regarding the purchase of tickets related to the event, which the customer may need to comply with. In particular, the respective Promoter may make access to and attendance of the event dependent on the prior acceptance of its General Terms and Conditions by the customer.

 

3.           Contract Conclusion

The customer is guided through the ordering process on the website. By ordering a ticket, the customer submits the contractual offer. Before submitting the order, the customer must check his details and must accept these terms and conditions by clicking the button provided. Orders cannot be changed or withdrawn retroactively.

After completing your on-line order, the Promoter sends you an email with your ticket purchase confirmation number and other information relevant to your purchase and the event, if the order can be executed. The contract becomes only effective upon receipt of this written confirmation of the order.

4.           Payment arrangements and maturity

Ticket Prices are set by the Promoter, not by egocentric Systems GmbH. egocentric Systems GmbH has no control over ticket prices, the number of seats available or the like. The Promoter tells egocentric Systems GmbH what seats it has available and the price of each. Each time a ticket is ordered through egocentric Systems GmbH, the pool of available seats is immediately reduced by the seats sold and payment is held for distribution to the Promoter.

Prices of each ticket purchased through egocentric Systems GmbH will include the Promoter's per ticket charge for each seat you purchase plus a per ticket convenience charge for egocentric Systems GmbH plus a non-refundable per order processing fee for egocentric Systems GmbH. Additionally, mailing, courier or other shipping or delivery charges will also be added to the cost of each ticket order mailed or sent by a delivery service. All ticket prices for events that occur in the United States are stated in U.S. Dollars.

Specific ticket prices, convenience charges, order processing fees, and shipping/delivery fees will be as stated on the egocentric Systems GmbH web site (the "Site") and will be as shown in the "check out" screens displayed when you complete your ticket order.

egocentric Systems GmbH accepts several credit cards as methods of payment.

 

5.           Shipping and Print-at-Home

If the tickets are available and the customer has paid the full purchase price, the tickets will be sent to the customer within 7 working days of the conclusion of the contract by standard letter. The dispatch of the tickets takes place at expense and risk of the customer.

egocentric Systems GmbH offers the customer to print out the purchased tickets on their own printer immediately after signing the contract and paying for the tickets. The customer is responsible for providing the necessary software and hardware for the printing of the tickets. The customer receives the tickets in an e-mail including the corresponding invoice. These tickets have to be printed before the event. Keeping tickets on a smartphone is not enough. The customer assures to print each of his tickets only once or to destroy any multiple printouts. Each ticket is scanned prior to entry to the event. If it should be ascertained that the respective ticket has been printed several times, the customer is liable for any damages that may arise.

The customer is obliged to check his tickets for their correctness immediately after their receipt, in particular with regard to the event (name, place, date, time), number of tickets and price, category and specific seats. Complaints regarding incorrect tickets must be send immediately upon receipt of the tickets to egocentric Systems GmbH, Ticketing, Herweghstr 4, 01157 Dresden Germany, fax: +49, E Mail: info@stauden-augustin.de.

If the ticketdispatch has not been delivered within 3 days of the date of dispatch, the customer must contact egocentric Systems GmbH by e-mail atinfo@stauden-augustin.de. A new ticket will only be send to the costumer after receipt of the original ticket sent to the customer.

 

6.           Return, lost tickets and changes in event program 

egocentric Systems GmbH is only an agent for the Promoter and egocentric Systems GmbH is required to follow the Promoter's rules and policies. These policies prohibit egocentric Systems GmbH from making any refunds or replacements whosoever for any lost, stolen, undelivered, mis-delivered, late delivered or destroyed tickets. Once a ticket has been deposited in the mail or with a courier service or sent to you electronically, there will be NO REFUNDS even if the ticket is lost in transit, stolen, arrives late, or is destroyed.

Events often have more than one performer or type of entertainment. Usually in these circumstances there will be a main or headliner performer and others, generally described as "opening acts". If the headliner's performance is cancelled, then refunds will be governed by the Promoter's and egocentric Systems GmbH cancellation policies. Opening acts are subject to change or cancellation at any time without notice. If one or more opening acts change or fail to appear, there will be no exchanges, refunds or discounts. No refund will be owed if an opening act is changed or canceled.

 

7.           Cancellation or changes in time or place

Occasionally, events are canceled or postponed by the Promoter. Should this occur, we will attempt to contact you to inform you of whatever refund or exchange procedures may apply to that event. Generally speaking, refund and exchange policies are not up to egocentric Systems GmbH but are controlled by the Promoter.

While egocentric Systems GmbH tries to obtain the Promoter's advance agreement to authorize a full return of all ticket prices, convenience charges, order processing fees and delivery fees in the event that the event is cancelled, egocentric Systems GmbH cannot guarantee any refunds or exchanges absent the agreement of the Promoter for the event in question. If you purchase a ticket through egocentric Systems GmbH and a refund is authorized, then egocentric Systems GmbH will generally implement the refund by issuing a credit to the credit card that was used to pay for the tickets in question. Generally you will only be able to receive the refund by physically returning the actual tickets to egocentric Systems GmbH. In order to receive a refund or an exchange that may be offered, you will have to comply with the Promoter's rules and deadlines. When egocentric Systems GmbH issues you a refund for a ticket, it will issue a refund of the amount actually paid for the ticket, minus the processing fee, and the convenience charge. egocentric Systems GmbH will not refund any shipping, mailing or delivery charges actually paid. If a credit card was used to make the refunded purchase, then only that actual credit card will receive the credit for the refund.

egocentric Systems GmbH will NOT be liable for and will not pay or reimburse any travel, lodging, meals, or any other expenses that you or anyone else may have incurred in connection with a cancelled or postponed event. If an event is canceled, please contact us for information on receiving a refund. If the event was moved or rescheduled, the venue or promoter may set refund limitations. Contact us for exact instructions. Please make sure to include/provide your account number or confirmation number so we can expedite your refund if one has been authorized by the Promoter.

 

8.           Prohibition on resale of tickets

An attempt to illegally resell your ticket is grounds for seizure of the ticket and cancellation by the Promoter and/or venue without compensation. A ticket purchased through egocentric Systems GmbH may not be used for the purposes of advertising, promotion, contests or sweepstakes without the written authorization of the Promoter.

 

9.           Information concerning the visit of an event

Promoters and venues set their own rules and regulations concerning the conduct of events.  By purchasing a ticket through egocentric Systems GmbH, you acknowledge and agree that your purchase of the ticket and use of the ticket will be subject to those rules and regulations. Breach of the terms of the Promoter's or venue's rules and regulations will terminate your right to attend the event and will subject you to ejection from the event without a refund.

The Promoter has the right to cancel your ticket in case you do not accept those general terms and conditions. A ticket regularly expires when leaving the event.

 

10.        Liability

egocentric Systems GmbH is liable for damages in accordance with the applicable statutory provisions.

egocentric Systems GmbH is not liable for the correctness and completeness of the information provided by the Promoters on the website of egocentric Systems GmbH, in particular, but not exclusively, for data and information about the time of the event, location, viewing possibilities, program or cast.

egocentric Systems GmbH shall only be liable for wilful behaviour or gross negligence. In case of violation essential contractual duties (i.e. those which are fundamental for the fulfilment of the agreement and onto which the respective other party usually relies and is entitled to rely), egocentric Systems GmbH shall also be liable for simple negligence, whereby the respective liability shall be limited to foreseeable damages typically occurring in the respective type of contracts. Claims with regard to death, health and/or personal injury as well as those based on product liability law shall remain unaffected.

The liability according to the Product Liability Act remains unaffected.

 

11.        Right of withdrawal

As far as the egocentric Systems GmbH or the respective organizer offer services in the field of leisure activities there is no right of withdrawal due to § 312g para 2 sentence 1 no. 9 BGB. Each order of tickets is thus binding immediately after confirmation by egocentric Systems GmbH and obligates the customer to accept and pay for the ordered tickets.

 

12.        Data Protection

egocentric Systems GmbH collects, processes and uses personal data of the customer in accordance with applicable data protection laws as well as the Telemedia Act. The data (name, address, e-mail, telephone number, order data) are processed in an automated manner to the extent necessary for the contractual relationship. egocentric Systems GmbH transfers this data to third parties commissioned with the execution of the purchase contract, to the organizer, as this is necessary in order to carry out and fulfill the concluded contracts. 13.        Final clauses

All legal relationships arising under this contract shall be governed by German law exclusively. CISG shall not apply.

In case of the Client being “Kaufmann” according to the German trade law (Handelsgesetzbuch), has no general venue of jurisdiction in Germany or his place of registration or his permanent residence is unknown, exclusive venue of jurisdiction shall be Dresden, Germany.

In the event that any provision laid down in this Agreement should be ineffective, the remaining provisions shall remain unaffected thereof. The Parties hereby agree to replace this ineffective provision by a new provision which represents the economic purpose of the Parties. The same applies in the event that this Agreement should contain any gaps.

These General Terms and Conditions come into force with immediate effect and replace all previous terms and conditions of egocentric Systems GmbH.
